We provide a wide range of commercial and business advice to our clients, from start-up companies to closely held corporations to medium sized businesses.
We work with clients who have a variety of needs with diverse budgets. Our goal is to accommodate the needs of our clients’ businesses from relatively simple transactions to those that require a heightened degree of legal sophistication and skill.
Our corporate team regularly is involved in representing clients in stock and asset transactions as well as in mergers, joint ventures, partnerships and other types of transactional matters. We also negotiate and draft a wide range of agreements and other documentation specific to the insurance industry – including producer agreements, employee agreements and shareholders’ agreements. Our attorneys structure the terms of commercial agreements to suit the particularized needs of each client. As a result, we have been retained to provide ongoing counsel and representation for our commercial clients.
In addition, we presently serve as general counsel for several large insurance trade not-for-profit associations. In this capacity, we provide day-to-day counsel on a myriad of business, regulatory and anti-trust issues. We also sit as counsel during the not-for-profits’ board meetings to assist with any issues that may arise during those meetings.
Owing to the fact that our commercial team is involved in underlying business structures for our clients, we are also particularly attuned to the potential pitfalls which can lead to unintended litigation. Our goal is to advise and assist the business client to avoid legal proceedings. However, if it becomes necessary to prosecute or defend a lawsuit, we provide aggressive, yet cost effective representation. We are experienced in state and federal courts, both at the trial and appellate levels.
